Regulation Crowdfunding (Reg CF) is a regulatory framework established by the SEC under the JOBS Act that allows early-stage companies and startups to raise capital by selling equity (shares) directly to the general public.
Traditionally, investing in private startups was restricted to “accredited investors” (individuals meeting strict wealth or income thresholds). Reg CF democratizes this process, allowing anyone—including everyday people, neighbors, and community members—to buy equity and become a legitimate shareholder in a private project.

By utilizing Reg CF, the Pinckney Commonwealth Campus isn’t just seeking traditional corporate backing; we are building a community-owned ecosystem. Here is exactly how this framework applies to our campus, our shares, and our six core ventures:
- Low Minimum Investment Thresholds: Under Reg CF rules, we can offer accessible equity structures. That is why our entry point is set at $1 per share with a 500-share minimum ($500), ensuring that local families, individuals, and groups can afford to have a real stake in our growth.
- Funding Six Interconnected Ventures: Your investment under Reg CF is pooled to directly fund the infrastructure of our six core pillars—The Fishery, The Cannery, The Gardens, Water, Housing, and The Learning Center. This gives your single investment immediate, diversified exposure to a comprehensive, circular green economy.
- Strict SEC Protections & Intermediaries: To ensure maximum safety and transparency, Reg CF requires that all official capital raises take place online through an SEC-registered and FINRA-member intermediary (a designated funding portal or broker-dealer).
- Annual Fundraising Limits: Reg CF allows companies to raise up to $5 million within a rolling 12-month window. This cap provides our campus with the substantial capital needed to build advanced aquaculture tanks, commercial canning facilities, and eco-housing, all without losing our community-first focus.
- Investor Support Caps: While accredited investors can back our project with unlimited amounts, Reg CF protects everyday (non-accredited) investors by limiting how much they can invest annually based on a small percentage of their net worth or yearly calendar income.
The Current “Testing the Waters” Phase
Before we officially file our offering documents (Form C) with the SEC and open up the portal for monetary transactions, we are using the SEC’s “Testing the Waters” provision. This legally permits us to gauge public and community interest, explain our $1-per-share model, and gather feedback from potential investors like you before executing a full launch.
